Engagement Structure & Payment Terms

Web SDK with Integration (₹17,00,000): Payment structure - 40% (₹6,80,000) at contract signing, 30% (₹5,10,000) at mid-project, 30% (₹5,10,000) at delivery.
Android SDK with Integration (₹10,00,000): Payment structure - 40% (₹4,00,000) at kickoff, 30% (₹3,00,000) at mid-project, 30% (₹3,00,000) at final delivery.
iOS SDK (Future Module): ₹8,00,000 SDK development + ₹5,00,000 integration = ₹13,00,000 total (to be scoped separately when required).
All invoices are payable within 7 days of invoice date via bank transfer (NEFT/RTGS/IMPS).

Scope Management & Change Requests

The scope outlined covers the AI SDK development as per requirements discussed.

Scope changes outside defined deliverables will be handled via separate change request with revised timeline and cost.

All scope changes require written approval from both parties before implementation.

Intellectual Property Rights

All custom code, designs, algorithms, and documentation developed for Birla Opus will become Birla Opus's property upon final payment.
1000xdev retains rights to use the project as a case study in our portfolio (with prior approval from Birla Opus).
Pre-existing frameworks, libraries, and tools remain with their respective owners (open source or 1000xdev proprietary).
Birla Opus grants 1000xdev a license to use Birla Opus's brand assets solely for development purposes during the engagement.
The proprietary computer vision models and paint calculation algorithms developed specifically for Birla Opus are Birla Opus's exclusive IP.

Confidentiality & Data Security

Both parties agree to maintain strict confidentiality regarding all information exchanged during this engagement.
1000xdev will sign a mutual NDA before commencing work if required.
All job data, customer information, and product pricing will be handled with enterprise-grade security protocols.
Development team will have limited, need-based access to production data with proper security controls.
Data stored on secure cloud infrastructure with encryption at rest and in transit.
Confidentiality obligations survive the termination of this agreement indefinitely.

Accuracy Guarantee & Quality Standards

The computer vision SDK is designed to achieve ±2-3% measurement accuracy with proper calibration.
Accuracy depends on: (a) Proper reference object calibration, (b) Good lighting conditions, (c) Clear wall visibility without obstructions.
We will provide calibration guidelines and best practices documentation for ops teams.
Accuracy validation will be performed during development with real-world test cases.
Post-launch accuracy monitoring included in warranty period with optimization recommendations.

Project Dependencies & Timeline

Timeline assumes: (a) Timely client feedback and approvals, (b) Access to Birla Opus product catalog and pricing data, (c) Test accounts and staging environment access.
Critical dependencies include: Product catalog API access, sample product data, brand assets (logos, colors, fonts), and test devices for mobile SDK development.
Weekly progress updates and bi-weekly milestone reviews ensure transparency and early risk identification.
Any delays caused by client-side dependencies (feedback, data access, approvals) may impact the timeline.
Mutually agreed timeline extension will not incur additional costs unless scope changes are involved.

Warranty & Post-Launch Support

Complete Platform (Web + Android): 60 days warranty for bug fixes related to delivered features + 30 days transition support and knowledge transfer.
Individual Platforms (Web or Android with Integration): 30 days warranty for bug fixes and integration support.
iOS SDK (Future): 30 days warranty when implemented, with separate integration support.
Warranty covers bugs and issues in delivered functionality, not new feature requests or scope additions.
Bug fix priority: Critical (production-breaking) - 4 hours response, High priority - 24 hours, Medium/Low - 48-72 hours.
Integration support includes: Frontend/backend troubleshooting, API debugging, deployment assistance, performance optimization.
After warranty period, ongoing maintenance and support available via separate annual maintenance contract (AMC).

Service Level Agreement (SLA)

Development Phase: Response time for critical blockers - 4 hours (business hours). Non-critical issues - 24 hours response.
Post-Launch Support: Critical production issues - 2 hours response. High priority - 8 hours. Medium/Low - 24-48 hours.
Availability: Development team available 9 AM - 7 PM IST, Monday-Saturday. On-call support for critical production issues during warranty period.

Termination & Refund Policy

Either party may terminate with 30 days written notice. Birla Opus remains liable for work completed until termination date.
Upon termination, 1000xdev will provide: (a) All source code and documentation developed to date, (b) Knowledge transfer sessions, (c) 15 days transition support.
In case of termination for cause (material breach), the defaulting party must remedy within 15 days of written notice.
Early termination requires payment for completed milestones plus 25% of next milestone as termination fee.
No refunds for work already completed and delivered as per agreed milestones.

Both parties maintain appropriate professional liability and cyber insurance coverage.
Force majeure clause applies for events beyond reasonable control (natural disasters, pandemics, government restrictions).
